Proofpoint acquires Varonis for $6.3B in cybersecurity deal
Proofpoint has agreed to acquire data and AI security firm Varonis in a massive all-cash deal. The acquisition is valued at approximately $6.3 billion, marking the largest cybersecurity acquisition announced in 2026 so far.

Proofpoint Buys Varonis for $6.3 Billion

The deal was announced on Thursday by both companies. Varonis shareholders will receive $49.75 per share. This represents a 52% premium over the company’s closing stock price of $32.71 on June 22, 2026. Rumors of a potential sale emerged just before that date.

The transaction is expected to finalize in the first half of 2027. Until then, Proofpoint and Varonis will operate as independent entities. After closing, Varonis will become a private company.

Thoma Bravo Funds Major Deal

Thoma Bravo, Proofpoint’s owner, is providing committed equity financing. They have also secured debt financing commitments for the acquisition. The Ontario Teachers’ Pension Plan is investing in Proofpoint as part of this deal.

This acquisition follows a busy period for both firms. Proofpoint acquired AI security and governance company Acuvity in February. Around the same time, Varonis acquired AllTrue.ai, an AI trust, risk, and security management provider, for $150 million.

AI Security Capabilities Merge

Varonis offers a SaaS data security platform. It classifies sensitive data across cloud, SaaS, and on-premises systems. The platform also maps access permissions and monitors data usage. Its Atlas solution extends to AI systems, providing inventory, posture management, and compliance reporting.

Proofpoint specializes in email security, blocking phishing, BEC, ransomware, and malware. Its data security lineup includes data loss prevention and insider risk management. Earlier this year, Proofpoint introduced AI Security, which controls employee and AI agent use of AI tools.

Post-acquisition, Proofpoint aims to integrate these capabilities. The goal is a unified data and AI security platform.

Cybersecurity M&A Heats Up

This $6.3 billion deal is the largest in cybersecurity for 2026. The sector has seen significant consolidation. Other notable acquisitions include IonQ acquiring Zero Trust firm Elisity for up to $1.3 billion. Dragos also completed its NetRise and runZero acquisitions recently. This trend indicates a strong drive towards broader, integrated security offerings.

The integration of Varonis into Proofpoint will create a formidable player in data and AI security. With Proofpoint’s existing email and cloud security products, the combined entity will offer a comprehensive suite. The deal’s closing in the first half of 2027 will solidify this new market presence.
